Beneficial Ownership Information Reporting Requirement Revision
What happened
FinCEN issued a final rule, signed by Donald Trump, adopting and making limited changes to an interim final rule from March 26, 2025. This rule exempts U.S. person beneficial owners from reporting BOI and from providing it to reporting companies. It also exempts reporting companies from submitting information about U.S. person company applicants and exempts U.S. person company applicants from providing their information. Finally, it exempts all U.S. persons from updating information for a FinCEN identifier.
Why it matters
This rule reduces the regulatory burden for many U.S. persons and companies by eliminating certain reporting and updating requirements. It streamlines compliance for those involved in company formation and ownership by focusing reporting on non-U.S. person aspects.
